Frank Schönemann untersucht die heutige Organisation der deutschen Börsen und stellt den Entwurf einer rein privatrechtlich verfassten Börse vor. Derzeit ist die rechtliche Ausgestaltung von der Unterscheidung zwischen den als Kapitalgesellschaft verfassten Börsenträgern auf der einen und den Börsen als Anstalten öffentlichen Rechts auf der anderen Seite geprägt. Anhand der geschichtlichen Entwicklung der Börsen zeigt der Verfasser auf, wie es zu dieser Ausgestaltung kam. Er nimmt eine Bestandsaufnahme der jetzigen Börsenstruktur vor und befasst sich zudem mit den nichtbörslichen, alternativen Handelssystemen. Anschließend werden die Rahmenbedingungen betrachtet, die bei einer Reform zu berücksichtigen sind. Dies sind insbesondere verfassungsrechtliche und ökonomische Grundlagen, staatliche Regelungsziele sowie europäische und internationale Vorgaben und Standards. Hierauf aufbauend entwickelt Frank Schönemann einen umfassenden Entwurf einer rein privatrechtlich verfassten Börse. Als geeignete Rechtsformen werden die Aktiengesellschaft und die GmbH herausgearbeitet. Die Festsetzung des börslichen Regelwerks soll in der Form Allgemeiner Geschäftsbedingungen erfolgen. Die Rechtsbeziehungen der Börse zu den zugelassenen Handelsteilnehmern und zu den Emittenten sollen durch Vertrag geregelt werden. Ergänzend wird eine Beleihung der Börse mit einzelnen hoheitlichen Befugnissen befürwortet. Der Verfasser spricht sich für eine Beibehaltung der börseneigenen Aufsicht aus. Er schlägt vor, die staatliche Aufsicht bei der BaFin zu bündeln und mittel- und langfristig Aufsichtsaufgaben zunehmend auf europäischer Ebene wahrnehmen zu lassen.
